These Terms govern your use of this website. They are not your membership agreement, and they do not create a physician–patient relationship.
1. Acceptance of These Terms
These Terms & Conditions (“Terms”) form a binding agreement between you and [Legal entity name], doing business as Bloom Medical (“Bloom Medical,” “the Practice,” “we,” “us,” or “our”), governing your access to and use of this website and any forms, inquiry paths, or communications features made available through it (together, the “Site”).
By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site.
2. Who We Are
Bloom Medical is a membership-based concierge primary care and women’s health practice located in Los Angeles, California. Clinical services are delivered by licensed California physicians and clinical staff. Bloom Medical maintains a clinical affiliation with Apex Multi-Specialty Medical Group, an independent medical group, for specialty referral and continuity of care. Apex is a separate legal entity and is not a party to these Terms.
3. Scope — Website Only
These Terms apply to the Site. They do not govern the terms of membership or the delivery of medical care.
Order of precedence. If you become a member, your relationship with the Practice is governed by your signed Membership Agreement, our Notice of Privacy Practices, and any consent forms you execute. Where those documents conflict with these Terms, those documents control on all matters of membership, clinical care, fees, and health information.
4. No Physician–Patient Relationship
Using the Site, submitting an inquiry form, subscribing to communications, or corresponding with us does not establish a physician–patient relationship. That relationship begins only when you have been accepted as a member, have completed the Practice’s intake and consent process, and have been seen or formally accepted for care by a Bloom Medical physician.
All content on the Site — including the Learning Centre, clinical service descriptions, and any educational material — is general information. It is not medical advice, diagnosis, or treatment, and it is not a substitute for consultation with a qualified clinician who knows your history.
Medical emergencies. Do not use this Site to report a medical emergency. If you are experiencing a medical emergency, call 911 or go to the nearest emergency department immediately. Do not delay seeking care because of anything you have read here.
5. Membership Is Not Insurance
MEMBERSHIP IN BLOOM MEDICAL IS NOT HEALTH INSURANCE. Membership fees pay for enhanced access and non-covered services provided directly by the Practice. Membership is not a health care service plan and is not licensed under the Knox-Keene Health Care Service Plan Act of 1975. Membership does not cover hospitalization, emergency care, specialty care, prescription drugs, laboratory or imaging services billed by outside providers, or any other service not expressly described in your Membership Agreement.
Membership is not a substitute for health insurance, and it does not satisfy any individual coverage requirement. We strongly recommend that every member maintain separate health insurance coverage.
Depending on your tier, some services may be billed to your insurance and some may not. Your Membership Agreement describes which services are included in the membership fee, which are billed to insurance where applicable, and which are your direct responsibility.
6. Membership Inquiries and Panel Acceptance
Bloom Medical maintains deliberately limited panels so that access and attention remain what we represent them to be. Submitting an inquiry, an application, or a Bloom Reserve consultation request does not create a membership, reserve a place, or guarantee acceptance.
- Bloom Signature inquiries are reviewed for fit and current panel availability.
- Bloom Reserve is offered by application and consultation. Reserve pricing and availability are discussed privately with qualified applicants.
We may decline any inquiry or application, close a panel, maintain a waitlist, or adjust availability at our discretion, consistent with applicable law and our professional obligations. Nothing on the Site is an offer to enter a membership; a membership exists only upon a signed Membership Agreement and receipt of applicable fees.
7. Fees, Billing, and Renewal
Published membership fees are current as of the effective date above and are subject to change. Any fee shown on the Site is illustrative until confirmed in your Membership Agreement, which governs the amount, billing frequency, payment method, renewal terms, and any late or declined-payment provisions applicable to you.
Fees for professional services rendered outside the scope of your membership, and charges billed independently by laboratories, imaging providers, hospitals, pharmacies, or specialty physicians, are your responsibility and are not included in the membership fee.
8. Cancellation and Refunds
Cancellation rights, notice periods, and any proration or refund of prepaid fees are set out in your Membership Agreement. Where California law provides a right to cancel within a specified period, that right applies regardless of any contrary term. Requests to cancel should be submitted in writing to the contact address in Section 24.
9. Eligibility and Age
The Site is intended for adults 18 years of age and older. We do not knowingly collect personal information from children under 13 through the Site. If you believe a child has submitted information through the Site, contact us and we will delete it. Membership for a minor may be arranged only through a parent or legal guardian under a separate agreement and consent.
10. Your Account and Submissions
If the Site offers a portal, scheduling tool, or account, you are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your credentials. Notify us promptly of any unauthorized use.
You represent that information you submit is truthful and that you are authorized to submit it. Do not submit another person’s health or personal information through the Site unless you have authority to do so.
Please do not send detailed clinical information, medical records, or sensitive personal identifiers through general website forms or unencrypted email. Use the channels the Practice designates for clinical communication.
11. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to the Site, its servers, or related systems;
- Introduce malware, attempt to disrupt or overload the Site, or probe or scan its security;
- Scrape, harvest, or systematically extract content or personal information from the Site;
- Reproduce, republish, or commercially exploit Site content without written permission;
- Impersonate any person or misrepresent your affiliation with any person or entity;
- Post or transmit content that is unlawful, defamatory, harassing, or infringing.
We may suspend or terminate access to the Site for any violation.
12. Electronic Communications
By providing an email address or phone number, you consent to receive communications from us electronically, including administrative notices, responses to inquiries, and, where you have opted in, practice updates and educational material. You may withdraw consent to marketing communications at any time using the unsubscribe link or by contacting us. Withdrawing consent to marketing does not stop transactional or clinical communications related to your care or membership.
Standard email is not a secure channel. Do not use it for urgent matters or for detailed health information.
13. Text Messaging
If you opt in to text messages, you consent to receive SMS messages from Bloom Medical at the mobile number you provide. Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, or HELP for assistance. Consent to receive text messages is not a condition of membership or of any purchase. Mobile opt-in information and consent are not shared with third parties for their own marketing purposes. See our Privacy Policy for details on how messaging data is handled.
14. Telehealth
Where telehealth is offered as part of membership, it is available only to members physically located in California at the time of the visit, or in another jurisdiction where the treating physician holds an active license. Telehealth is not appropriate for every clinical situation, and your physician may require an in-person visit. Separate telehealth consent is obtained before services are provided.
15. Intellectual Property
All content on the Site — text, graphics, photographs, illustrations, logos, the Bloom Medical wordmark and botanical mark, page design, and the selection and arrangement of content — is owned by or licensed to the Practice and is protected by copyright, trademark, and other laws.
You may view and print Site content for your own personal, non-commercial reference. Any other use — reproduction, distribution, modification, framing, or creation of derivative works — requires our prior written consent. References to third-party names, marks, or publications, including any book title referenced on the Site, remain the property of their respective owners.
16. Third-Party Links and Services
The Site may link to third-party websites or embed third-party services, including mapping, scheduling, payment processing, and analytics. We do not control those services and are not responsible for their content, availability, security, or privacy practices. Your use of a third-party service is governed by that party’s terms and privacy policy.
17. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT CONTENT IS CURRENT, COMPLETE, OR ACCURATE.
This section limits warranties regarding the Site. It does not limit any obligation owed to you as a patient under California law or the applicable standard of care.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE PRACTICE AND ITS OWNERS, PHYSICIANS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms limits or excludes liability for gross negligence, willful misconduct, professional negligence in the delivery of medical care, or any liability that cannot lawfully be limited under California law.
19. Dispute Resolution & Arbitration
Please read this section carefully. It affects how disputes are resolved.
Before initiating any formal proceeding, you agree to contact us in writing and allow thirty (30) days for a good-faith attempt to resolve the matter informally.
Any dispute arising out of or relating to the Site or these Terms that is not resolved informally will be settled by binding arbitration administered in Los Angeles County, California, under the rules of a recognized arbitration provider, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction. Each party waives any right to a jury trial and to participate in a class, collective, or representative action, to the fullest extent permitted by law.
You may bring an individual claim in small claims court instead of arbitration if it qualifies. Either party may seek injunctive relief in court to protect intellectual property or confidential information.
Scope. This section applies to disputes about the Site and these Terms. Arbitration of any claim relating to medical care is governed separately by the arbitration provisions, if any, in your Membership Agreement and by California Code of Civil Procedure section 1295, including its statutory notice and rescission requirements. Nothing here waives any right you have under that section.
20. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Subject to Section 19, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any matter not subject to arbitration.
21. Accessibility
We work to keep this Site usable by people of all abilities and aim to align with recognized accessibility guidance. If you encounter a barrier to accessing any part of the Site, contact us using the details in Section 24 and we will work with you to provide the information you need in an accessible form.
22. Changes to These Terms
We may revise these Terms at any time. The revised version takes effect when posted, with an updated date at the top of this page. Your continued use of the Site after posting constitutes acceptance. Material changes may be highlighted on the Site.
23. General Provisions
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and the Practice regarding the Site, and supersede prior understandings on that subject.
- Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remainder will stay in force.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them in connection with a reorganization, merger, or sale of the Practice, consistent with applicable law.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Headings. Headings are for convenience only and do not affect interpretation.
